Official Program Terms & Conditions

By participating in The Spa Dr. Creator Program (the “Program”), each participant (“Creator” or “you”) agrees to be bound by these Official Program Terms & Conditions (the “Terms”) and the decisions of Eurofina S.A. and its affiliate, The Spa Dr. LLC. (“The Spa Dr.,” “we,” or “us”), which are final and binding in all matters.

1. Introduction and Acceptance

By accepting these Terms — whether (a) upon enrolling to participate in the Program through Euka or such other platform as The Spa Dr. designates (the “Program Platform”), or (b) if you have not already done so, in connection with a reward claim as described in Section 8 (Reward Claims) — you unconditionally accept these Terms and our decisions, including our interpretation of these Terms and our exercise of discretion, which are final and binding. Your compliance is a material condition of your participation and of our obligation to provide any rewards. The Spa Dr.’s Terms of Service, Privacy Policy, and Creator Guidelines (the “Governing Documents”) are incorporated by reference. To the extent any part of these Terms conflicts with a Governing Document, these Terms control.

Participation and acceptance. To participate in the Program, an approved creator must enroll through the Program Platform, which requires the creator to affirmatively accept these Terms as part of enrollment. Once enrolled, any approved creator who sells The Spa Dr. products through TikTok Shop during a Program Month automatically accumulates Personal Net GMV and may appear on the leaderboard under their name or TikTok handle, consistent with Section 4 (How to Participate). If, for any reason, a Creator generates Personal Net GMV or otherwise participates in the Program before accepting these Terms at enrollment, that Creator's acceptance of these Terms in connection with a reward claim under Section 8 (Reward Claims) will independently constitute that Creator's acceptance of, and agreement to be bound by, these Terms. Regardless of when acceptance occurs, to claim and receive any reward, a Creator must have accepted these Terms, complete the reward-claim form, and — for rewards valued over $600 — sign an Affidavit of Eligibility, a Liability and Publicity Release, and a W-9.

By accepting these Terms (whether upon enrollment through the Program Platform or, if not already accepted at that time, in connection with a reward claim), you acknowledge and agree that these Terms — including Section 12 (Release and Limitation of Liability. Indemnification), and Section 13 (Disputes and Governing Law) — are deemed to have applied to your participation in the Program from the date you first began generating Personal Net GMV, and you ratify and confirm The Spa Dr.’s administration of the Program, including its calculation of your Personal Net GMV and its display of Program standings, during that period. This retroactive application extends releases, consents, and dispute-resolution terms to your entire participation; it does not create a new basis to disqualify, penalize, or deny a reward to a Creator for conduct occurring before that Creator had actual notice of the specific requirement at issue.

2. Program Structure and Term

The Program runs for a fixed term of three (3) months, beginning on September 1st, 2026 and ending three (3) months thereafter, unless extended, shortened, or renewed by The Spa Dr. in accordance with Section 11 (the “Program Term”). The Program is a sales-performance incentive program, not a sweepstakes, raffle, or contest of chance. It operates in recurring monthly cycles (each a “Program Month”). Your level, commission rate, and eligibility for a milestone reward are determined for each Program Month based on your individual performance.

Automatic monthly review. On the first (1st) day of each month, we review the prior month’s verified Personal Net GMV, approved content, and compliance status to set your level for the coming month. Personal rank is determined only by personal performance. Your level is recalculated each month based solely on that month’s results. If your verified Personal Net GMV (or required video count) falls below your current level’s requirements in a given month, your level — and its commission rate and benefits — adjust accordingly for the following month. Levels can move up or down each month depending on performance. Serious compliance violations may result in immediate suspension regardless of rank.

Minimum content requirement. Beginning at Rising Star, Creators at the following levels must post a minimum number of TikTok Shop videos featuring The Spa Dr. products each Program Month in order to remain eligible at that level: Rising Star — 15 videos; Elite — 20 videos; VIP — 30 videos; Platinum — 40 videos; Diamond — 50 videos. Open Collab and Target Collab Creators have no minimum video requirement. A "posted video" means a publicly visible TikTok video that features The Spa Dr. products, is linked to your TikTok Shop affiliate account, and is posted during the applicable Program Month. Reposts, stories, and unlisted or deleted videos do not count toward the minimum. Failure to meet the minimum video requirement for a given Program Month is treated as failure to meet that level's requirements for that Program Month, which is reflected in the monthly level recalculation described in the Automatic monthly review paragraph above. The Spa Dr. determines, in its sole discretion, whether a video qualifies under this requirement.

3. Eligibility

To participate, you must be an approved promoter, endorser, or affiliate of The Spa Dr. products via TikTok Shop, and you must: (i) be a legal resident of the fifty (50) United States or D.C.; (ii) be at least eighteen (18) years old; and (iii) be an eligible and approved TikTok Shop Creator under TikTok’s applicable policies. You are ineligible if you do not meet these criteria, if participation would violate any law, or if you fail to comply with these Terms or any Governing Document.

4. How to Participate

Participation in the Program requires enrollment through the Program Platform (currently Euka), which requires you to affirmatively accept these Terms as a condition of joining. Creators can monitor their performance on the official Program leaderboard. Because acceptance of these Terms occurs at enrollment, the leaderboard will display your name and TikTok handle, consistent with Section 12, from the time you enroll. Eligibility to receive a milestone reward depends on achieving the monthly Personal Net GMV levels below and completing the reward-claim steps in Section 8. GMV generated outside of the applicable Program Month or outside TikTok Shop is not eligible.

5. Levels & Commission Structure

Each Program Month, Creators earn commission on qualifying sales at the rate for their level, and become eligible for the milestone reward of the highest level reached that month. Levels are earned by reaching the applicable monthly Personal Net GMV goal — not by random draw or chance. Creators at Rising Star and above must also meet the minimum monthly video posting requirement set out in Section 2 (Minimum content requirement) to remain eligible at their current level.

Personal Net GMV means eligible retail sales generated through your approved affiliate links, codes, or storefronts, after deducting discounts, refunds, returns, cancellations, taxes, shipping, fraudulent transactions, and chargebacks. Refunds and chargebacks are deducted from future commissions.

6. Rewards & Benefits by Level

The following benefits and one-time milestone rewards apply at each level. Higher levels include the benefits of the levels below unless stated otherwise.

Open Collab

Benefits:

• Refundable samples.
• Access to the basic Creator Portal.
• Personal affiliate link and discount code.
• Eligibility for selected open campaigns.

Target Collab

Benefits:

• One-time free sample.
• Access to cash-prize campaigns.
• Access to the private creator community / Discord.
• Basic performance dashboard.
• Monthly creative briefs.

Rising Star

Milestone reward: Apple Watch SE (or an equivalent approved reward, approx. value $250).

Benefits:

• Higher commissions.
• Free monthly samples.
• Early access to selected campaigns.
• Creator education library.
• Monthly content inspiration and winning-content examples.

Elite

Milestone reward: Oura Ring Gen 4 or Dyson Supersonic (or an equivalent approved reward, approx. value $500).

Benefits:

• Higher organic and paid commissions.
• One-on-one content feedback.
• Free aesthetic or expert consultation calls.
• Priority access to UGC opportunities.

VIP

Milestone reward: Choice of: Louis Vuitton Keepall Bandoulière, Cartier LOVE Hoop Earrings (Small Model), or an equivalent approved reward, approx. value $2,600.

Benefits:

• 28% organic commission; 10% paid commission.
• Access to paid in-person UGC events and training.
• Access to advanced training materials.
• Priority consideration for new product launches.

Platinum

Milestone reward: Choice of: Van Cleef & Arpels Vintage Alhambra necklace, diamond tennis necklace, Dior (or equivalent) designer bag, or an equivalent approved reward, approx. value $4,500.

Benefits:

• 30% organic commission; 10% paid commission.
• National wellness trip — a two-day wellness and spa retreat for two.
• Quarterly strategy session with The Spa Dr.
• Priority access to brand events and launches.

Diamond

Milestone reward: Choice of: Rolex Datejust 36 (Oyster, 36 mm), Tiffany T Medium Smile Pendant in Gold with Diamonds, or an equivalent approved reward, approx. value $8,500.

Benefits:

• 35% organic commission; 10% paid commission.
• Travel to Cosmoprof Worldwide Bologna.
• Dedicated account manager.
• Featured Creator status across The Spa Dr. channels.
• First access to new products, campaigns, and partnerships.
• Potential participation in future product development and brand events.

Maximum value; cash election; substitution. Each milestone reward is subject to a fixed maximum value per level: Rising Star — up to $250; Elite — up to $500; VIP — up to $2,600; Platinum — up to $4,500; Diamond — up to $8,500. A Creator who reaches a level may elect, as part of the reward-claim form under Section 8, to receive a cash payment in lieu of the described item, in an amount not to exceed the applicable maximum value for that level. Regardless of any such election, The Spa Dr. retains the right, in its sole discretion, to provide the described item, a cash payment, a gift card, a substitute of the reward of comparable value, or any combination thereof, up to the applicable maximum value — including where the described item is unavailable, delivery is impracticable, or for any other legitimate business reason.

Milestone Reward Disclosure. Each listed reward is a one-time achievement reward available to eligible creators who meet the applicable verified Personal Net GMV, content, and compliance requirements. Reward availability and specifications may vary and a Creator may elect, or The Spa Dr. may in its discretion choose, to provide a cash equivalent instead of the described item, as described in Section 6. Rewards are not guaranteed and do not represent typical Creator Program earnings. Applicable taxes are the creator’s responsibility. Milestone rewards are awarded only once per level. The first time a Creator reaches a level's monthly GMV goal, they receive that level's milestone reward. Commission rates and benefits are re-evaluated each month based on performance (see Section 2); reaching the same level again in a later month keeps the Creator at that level's commission rate but does not entitle them to the milestone reward a second time.

7. Determination and Verification

Rewards are granted based on Personal Net GMV generated through your individual TikTok Shop account, as reported by TikTok Shop following the applicable Program Month and a reasonable reconciliation period. Eligibility and GMV calculations are subject to verification. We may deny any reward if GMV was generated through dishonest, fraudulent, deceptive, or unlawful means, as determined solely by us.

8. Reward Claims

Creators are responsible for tracking their own GMV. Once you reach a level, you must submit a reward claim — which includes accepting these Terms (if not already accepted at enrollment), indicating whether you wish to receive the milestone reward as the described item or as its cash equivalent under Section 6, and providing the requested information for verification — within thirty (30) days of the end of the applicable Program Month. Claims submitted after the 30-day window will not be accepted. Potential winners may be required to sign an Affidavit of Eligibility, a Liability and Publicity Release, and any additional documentation reasonably requested; failure to comply within ten (10) days may result in forfeiture. Winners will be announced in The Spa Dr.'s Discord community and notified via direct message in Discord. Approved reward payouts will be made within thirty (30) days of the winner announcement.

No reward is issued automatically. Reaching a level's GMV goal makes a Creator eligible for that level's milestone reward, but does not by itself entitle the Creator to receive it. To receive any reward, the Creator must accept these Terms and submit a valid reward claim within the claim window. Creators who do not submit a claim — including those who generated qualifying GMV without actively participating in the Program — forfeit the reward.

9. Taxes

Taxes and required forms (e.g., W-9, 1099) apply for milestone rewards and other compensation valued over $600 that The Spa Dr. pays or provides directly under Section 6. This Section 9 does not apply to commission payments, which are remitted directly by TikTok Shop and are outside The Spa Dr.'s visibility or control; TikTok Shop is solely responsible for any tax reporting on commission payments. Creators are solely responsible for all tax obligations arising from their participation and any rewards received. Rewards are not transferable. As described in Section 6, a Creator may elect to receive a cash payment in lieu of a described item, and The Spa Dr. may, in its sole discretion, provide a cash payment, a gift card, or a combination thereof instead of, or in addition to, the described item.

10. FTC Disclosure and Claims

As a Program participant, you receive compensation and/or rewards from The Spa Dr. beyond a standard affiliate relationship. You agree to clearly and conspicuously disclose your material connection to The Spa Dr. in all content promoting our products (e.g., #ad or “paid partnership”), in accordance with the FTC’s Endorsement and Testimonial Guidelines and TikTok’s policies, in addition to any automated platform labeling. Earnings claims must be truthful, verifiable, and accompanied by a “results vary / not typical” disclosure; false, fabricated, or unverifiable income statements are prohibited.

11. Reservation of Rights; Modification

The Spa Dr. reserves the right, in its sole discretion, to modify, suspend, or discontinue the Program — including its levels, commission rates, rewards, criteria, and these Terms — at any time and for any reason. Any change will be posted on the Program Platform (currently Euka) and applies prospectively from the date posted. Your continued participation after a change constitutes acceptance of the updated Terms. We reserve the right to disqualify any Creator who tampers with or abuses any aspect of the Program. Duplicate or fraudulent accounts are prohibited; accounts sharing banking, tax, address, device, or payment information may be reviewed. The Spa Dr. has final approval authority over all creator applications and accounts. Upon expiration of the Program Term, The Spa Dr. may, in its sole discretion, renew, extend, or replace the Program with a successor program, which may be subject to new or updated terms.

12. Release and Limitation of Liability. Indemnification

Except where prohibited by law, your acceptance of these Terms — whether upon enrollment through the Program Platform or in connection with a reward claim — constitutes your consent, effective for your entire participation in the Program (including periods before that acceptance) to The Spa Dr. and its designees’ use of your name, reward won, hometown, likeness, TikTok handle, photograph, and statements for advertising, promotion, and publicity in any and all media now or hereafter known, worldwide, in perpetuity, without additional compensation or approval. You agree to release and hold harmless The Spa Dr. and TikTok from all liability in connection with lost, late, or misdirected claims; technical malfunctions or errors in calculating GMV; causes beyond our reasonable control (including, without limitation, acts of God, pandemics, labor disputes, or third-party platform outages or policy changes); and your participation generally, including your acceptance, possession, or use/misuse of any reward. This release applies to your entire participation in the Program.

You agree to indemnify, defend, and hold harmless The Spa Dr., its affiliates, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to your participation in the Program, your content, or any violation of these Terms. This obligation applies to your entire participation in the Program.

13. Disputes and Governing Law

This Program is governed by the laws of the State of California, without reference to conflict-of-law provisions. Disputes will be resolved individually and not as a class action, with remedies limited to actual out-of-pocket costs.

Eurofina S.A. and its affiliate The Spa Dr. LLC. All trademarks used herein are the property of their respective owners. Any questions regarding this Program must be directed to The Spa Dr. only and NOT to TikTok. This Program is not sponsored, endorsed, administered by, or associated with TikTok Inc. or any of its affiliates.
